Jacksonville-based Dream Finders Homes completed its acquisition of Beazer Homes on Tuesday, Oct. 20, in an all-cash transaction with an enterprise value of approximately $2.2 billion.
The company’s Oct. 20 SEC filing confirms the closing and says Beazer became a wholly owned subsidiary. Eligible Beazer common shares were converted into the right to receive $33.50 in cash per share. The filing lists aggregate merger consideration of approximately $878.4 million, a separate figure from the announced enterprise value.
Beazer’s stock ceased trading and was delisted from the New York Stock Exchange, according to the closing announcement. Dream Finders said the combination makes it the sixth-largest U.S.-headquartered homebuilder based on calendar-year 2025 revenue.
Founder, CEO and Co-Chairman Patrick Zalupski described the transaction as the company’s ninth acquisition since its 2021 initial public offering and its largest.
The acquisition adds California, Nevada, Indiana and Delaware to Dream Finders’ footprint and expands its Washington, D.C.-area presence, including Maryland. It also adds scale in markets where both builders operated.
At the Aug. 7 announcement, the companies projected a combined presence in 26 markets and approximately 520 active communities. Those figures describe the scale estimated when the deal was announced.
Builder magazine reported Oct. 19 that the combined operation would have approximately 13,000 annual closings. The magazine traced the negotiations to a private approach by Dream Finders in February, followed by rejected proposals and discussions in July before the August agreement.
In the closing announcement, Co-Chairman Rick Beckwitt reiterated expectations for more than $100 million in annual run-rate cost synergies and a double-digit percentage increase in earnings per share in the first year. These are company projections, not completed results.
Zalupski said the integration priority is introducing Dream Finders floor plans in Beazer communities while lowering construction costs and shortening build times. The company also reiterated its goal of returning to or improving its pre-deal leverage metrics within 18 to 24 months.
The builder has a local connection through its PGA Tour partnership. A February 2025 extension runs through 2031 and includes an expanded hosting program at The Players Championship in Ponte Vedra Beach.
